Job Responsibilities and Requirements: Responsibilities: Assists with contracts (drafting, reviewing, negotiating, revising and finalizing contracts and legal documents), and manages contract life cycle, including execution, archiving, monitoring and ensuring all contracts are maintained and updated in the applicable contracts database Summarizes contracts and communicates key contractual provisions to appropriate parties on an as needed basis Assists on M&A matters, including requesting, gathering, analyzing, organizing and summarizing contracts and other due diligence information Coordinates filings and deadlines for domestic and international trademarks, and make sure filings are done on a timely basis Trains existing staff on trademark systems, filings, etc. Assists with document production and other information requests for litigation, including coordinating document requests and collection with different functions within the company, and gathering, analyzing, organizing and summarizing documents and collected information Assists on litigation matters, including summarizing and digesting transcripts, calendaring litigation dates, and coordinating scheduling of depositions Assists with corporate housekeeping, including preparing, processing and maintaining state business filings, and monitoring and ensuring that corporate filings and changes in officers and directors for the company and its subsidiaries are kept up to date Assists with compliance projects, including policy adoption, revision, and training The ideal candidate will have the following: Minimum of 4 years working experience as a paralegal with contract experience in a legal environment Knowledge of contracts including a basic understanding of legal terms and conditions in contracts and experience drafting and negotiating contracts, including service agreements, consulting agreements, confidentiality agreements, procurement contracts, software licensing agreements, etc. 2 years' litigation experience as a paralegal preferred Trademark experience would be a plus Ability to work collaboratively in a team environment with internal and external contacts at all levels Ability to work independently, exercise sound, independent judgment, and take initiative to accomplish objectives in a timely manner with moderate supervision Exceptional drafting, proof-reading and verbal and written communication skills Excellent interpersonal, organizational, planning, time-management, problem-solving, analytical and critical thinking skills Ability to manage highly confidential information with professionalism and unquestionable integrity Strong work ethic, self-motivated, proactive approach, passion and flexibility Business acumen and understanding of business pressures and goals Great attention to detail and ability to adapt to changing priorities Demonstrated quality of service with strong attention to accuracy and follow-up. A can do, problem solving approach looking for the win-win in dealing with internal members/departments and external counsel, customers and vendors Strong technical, project management and database skills Ability to thrive and succeed in a fast-paced, demanding work environment Proficiency with Microsoft Office (including Word, Outlook, Powerpoint and Excel) and Adobe Required Education and Certification: A four-year college or university degree or its equivalent Paralegal certificate or equivalent experience Physical Requirements: Office type job and conditions. Environment: Exposure to disagreeable elements is moderate. Safety: Must be able to perform this job safely without endangering the health or safety of self or others. Supervisory Responsibilities: None. Travel: Required travel less than 10% of time.
