Senior Inside Counsel

Job Responsibilities and Requirements: In this role, you will use strong analytical skills to collaborate and communicate with a wide variety of stakeholders, including the executive team and board of directors. You should also have strong attention to detail and organizational skills, and be comfortable working in a fast-paced environment. What You'll Be Doing: Lead complex business transactions and negotiate critical contracts for customers, suppliers, vendors, etc. Own the process for efficient and effective contract management and maintenance Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and legal implications of all matters Serve as legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted Partner with compliance manager and security committee to assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations Advise on legal aspects of the companys financing, including assessing and advising on current and future business structures and legal entities Attend selected legal conferences on behalf of Zapproved as an evangelist for Zapproveds products You'll Need: Law degree and minimum of six years experience practicing law Experience working on matters of corporate governance and with a board of directors Experience with cost-effective management of outside legal resources Would Be Nice: Ten years experience as a practicing litigation lawyer, preferably initially with a prominent national law firm before moving to an in-house position Broad, overview experience in intellectual property law, including licensing of IP rights and IP due diligence Exposure to or familiarity with the following areas of law: securities, antitrust, computer law and privacy Experience working for or with a software company and/or rapidly scaling start-up environment Working for Zapproved: Zapproved is a software-as-a-service provider based in Portland, OR. Our suite of e-discovery software offers corporate legal teams cloud-based technologies for conducting e-discovery affordably and sustainably.
