Job Responsibilities and Requirements: ESSENTIAL DUTIES AND RESPONSIBILITIES Be a strategic and operationally focused partner to the senior leadership team on complex and significant matters that transcend legal arenas Ensure Paycor enters agreements that maximize legal rights and minimize risks Set internal governance policies and manage the impact of external factors Responsible for reviewing, drafting and negotiating key contracts (including client contracts and partnership agreements), purchase agreements and financing documents Participate in the development and operationalization of corporate policies, procedures and programs Provide counsel and guidance on all legal matters Manage the company s litigation through coordination with outside counsel Collaborate with Finance and HR to manage compliance, corporate governance and risk management Provide legal advocacy to the Board and Executive Committee on matters of Information Security in the protection of digital assets and PII owned, licensed, or maintained by Paycor. Be a key contributor to Business Continuity & Disaster Recovery policies and procedures Assist the Facilities team with both complex and routine real estate transactions Recruit, manage, and develop a strong, engaged, high performing team Keep abreast of legislative changes REQUIREMENTS To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements are representative of the knowledge, skill, and/or ability required. Juris Doctor degree MBA preferred High growth SaaS environment in either General Counsel role or strong #2 of a larger organization Broad legal knowledge and demonstrated ability to apply sound business judgment in a corporate setting Knowledge of federal, state, and international data privacy protection laws Deep understanding of how legal issues affect organizations High degree of professional ethics, integrity and gravitas Superior interpersonal and communication skills Demonstrated success engaging directly with Board of Directors and key shareholders IPO and broader capital markets experience preferred.
